Boardroom Service Terms

Last Updated: October 23, 2026

These are the terms for the Boardroom, where your AI team works. They sit under the company-wide SyncGrid Terms of Service. Billing is described in the Refund Policy; data in the Privacy Policy.

1. Acceptance of Terms

By signing in to or using the SyncGrid Boardroom ("the Service"), operated by SyncGrid LLC ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to these Service Terms. If you do not agree, do not use the Service.

2. Description of Service

The Boardroom is where a business owner talks to one Chief of Staff, which remembers what you tell it about your business and hands the real work to a team of fifteen specialist directors (Business Intelligence, Marketing, Prospecting, Sales, Partnerships, CRM, Follow-Up, Onboarding, Customer Support, Financial, Operations, Executive Assistant, Storefront, Webmaster and Ads) and a research assistant. The team drafts outreach and follow-ups in your voice, finds new local leads overnight, keeps your contacts and pipeline current, prepares proposals and content, and brings every outbound action to you for approval. Where your plan includes a website, store, course portal or Back Office, those are covered by your proposal and the Platform Terms shown in the Back Office. Which directors and features are enabled for you depends on your plan.

3. Agent Actions & Your Responsibility

You are responsible for everything the Boardroom sends on your behalf.

The directors draft. You approve. The Service ships only what you authorize. Liability for sent content rests with the User, not with SyncGrid.

The Service runs automated marketing-compliance checks on drafts and shows the results next to the Approve button. Those checks are an aid, not legal advice, and they do not catch everything. Approving a draft is your decision and your representation that its content is truthful, substantiated and lawful for the people it goes to.

3.0 Marketing Law Compliance

You are solely responsible for ensuring that every message, post, page, ad and document you approve complies with the laws that apply to you and your recipients, including:

  • Truth in advertising (FTC Act, state UDAP laws): no income, earnings or results claims you cannot substantiate; clear disclosure when a result is not typical; no guarantees you do not honor; no health or medical claims you are not licensed and able to prove.
  • Endorsements and reviews (16 CFR Part 255 and the FTC rule on consumer reviews): testimonials must be real, current and used with permission; no paying for, writing or suppressing reviews; disclose any material connection.
  • Email (CAN-SPAM): commercial email to a list must carry a working unsubscribe and your postal address, and you must honor opt-outs within ten business days. Sequences sent through the Service carry that footer; one-to-one email you approve is yours to keep compliant.
  • Text messages (TCPA, CTIA guidelines, state laws), where texting is enabled for your business: you may only text people who have given prior express consent, recorded on the contact before any text is drafted; you must honor STOP immediately; you must not text outside 8 a.m. to 9 p.m. in the recipient's local time; your first text must identify your business and say how to opt out. The Service enforces consent in data and records STOP replies, but the consent itself is your representation.
  • AI-generated content: you must not present AI-generated images, voices or reviews as real people or real customers, and you must label AI content where a platform or law requires it.

3.1 Approval Gates

  • Email: the directors compose each email and present it to you in the app. An email is sent from your own Gmail only after you explicitly approve it. The Service never auto-sends and never reads your inbox.
  • Calendar and Drive: meeting invites and file attachments are presented for your review before they are created or shared.
  • Posts and content: social posts, graphics and video are made on request and scheduled to your connected accounts only after you approve each piece.
  • Texts: where enabled, every text is drafted for your approval and sent only to contacts with recorded consent.
  • The night shift: overnight the team finds leads and drafts follow-ups into your morning queue. Nothing from that queue leaves without your approval.

3.2 Prohibited Uses of Agent Output

Absolutely prohibited:

  • Sending unsolicited bulk email (spam) in violation of CAN-SPAM, GDPR or other applicable anti-spam laws
  • Impersonating another person or entity in outreach drafts
  • Misrepresenting yourself as a different business or claiming affiliations you do not have
  • Harassing, threatening or defaming any recipient
  • Sending fraudulent, deceptive or scam communications
  • Fabricating testimonials, case studies or customer quotes
  • Targeting minors with marketing or sales outreach
  • Using the Service to circumvent another platform's terms (Gmail's sending limits, social-network rules, carrier rules)

3.3 Honest Use of Voice and Data

  • The team captures YOUR voice. You may not use the Service to impersonate someone else's voice or brand.
  • The CRM records what you report. You may not instruct it to record fabricated activity, fake interactions or invented contacts.
  • Testimonials come from real customer interactions. You may not instruct the team to fabricate them.

3.4 Content You Upload

  • You retain ownership of the documents, images and other materials you upload or provide to the Service ("User Content").
  • You are solely responsible for your User Content. You represent and warrant that you own it or have all rights and permissions necessary to provide it, and that it does not violate Section 4 or any applicable law.
  • You grant us a limited, non-exclusive license to host, store, process and transmit your User Content solely to operate and provide the Service to you, including sending it to our AI providers to fulfill your requests. We do not sell your User Content or use it to train AI models (see the Privacy Policy).
  • You provide and use the Service with all User Content at your own risk. To the maximum extent permitted by law, we are not responsible or liable for your User Content or for any loss, exposure or misuse of content you choose to upload.

4. Acceptable Use

You agree NOT to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulations
  • Attempt to gain unauthorized access to any portion of the Service, its underlying systems or another customer's data
  • Reverse engineer, decompile or otherwise attempt to extract source code, prompts or model weights
  • Use automated means (scrapers, bots) to extract data from the Service beyond the documented API surface
  • Interfere with or disrupt the Service or servers connected to the Service
  • Resell, sublicense or distribute the Service without written authorization
  • Upload, generate, store or transmit content that is sexually explicit or pornographic
  • Upload, generate, store or transmit content that is unlawful, hateful, harassing, defamatory, that incites violence, or that infringes the intellectual property, privacy or other rights of any third party
  • Upload any file or content you do not own or otherwise have the full right to provide, or that contains another person's confidential or personal information without a lawful basis

Zero Tolerance: Child Sexual Abuse Material (CSAM)

Child sexual abuse material (CSAM) and any content that depicts, promotes or facilitates the sexual exploitation or abuse of minors is strictly prohibited on this platform. You are solely responsible for the content you upload, generate or transmit, and you agree not to use the Service for any such purpose. We do not monitor or pre-screen user content and are not responsible or liable for content created or actions taken by users. We reserve the right, but assume no obligation, to remove such content, suspend or terminate the account without refund, and report it to the appropriate authorities where we become aware of it or are required by law to do so.

5. Account Registration

  • You must be at least 18 years old to use the Service
  • You must provide accurate, complete and current account information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities under your account, including agent actions taken with your approval and actions by staff you add
  • You must notify us immediately of any unauthorized use of your account

6. Subscription, Payment and Cancellation

  • We do not publish prices. Your plan and its price are set on a walkthrough with the founder and recorded in your proposal, order or Stripe subscription; that record governs
  • Subscriptions are monthly and renew automatically unless cancelled; payment is processed by Stripe under Stripe's terms
  • You may cancel at any time from your billing settings or by email; cancellation takes effect at the end of the current billing period and you keep access until then
  • All sales are final; there are no refunds for subscriptions, partial months, add-ons or setup fees. Billing mistakes are corrected. See the Refund Policy
  • Content credits included in your plan do not roll over month to month
  • Founding members keep their rate for as long as they stay subscribed

7. Intellectual Property

7.1 Your Content

You retain all rights to your business profile, voice, CRM data, conversations, what your team remembers, and any drafts produced for you by the directors. We do not claim ownership of your content. We grant ourselves only the limited license needed to operate the Service for you (process, store, display, transmit to the integrated services you have authorized). You can download it any day from Settings.

7.2 Our Service
